Vendor Terms and Conditions

By registering as a vendor/seller on the www.Digital2Digital.net platform, you agree to fully comply with the following terms:

1. Introduction

Welcome to www.Digital2Digital.net, owned by Cloudy eMarketing – registered with the General Authority for Investment in Egypt (GAFI) under number 179595.

By agreeing to these terms and conditions and using the website or purchasing any product, you fully accept the following terms.

 

2. Platform Role

• Digital2Digital.net is an electronic platform that acts as an intermediary between the customer and the supplier.
• The platform is not responsible for the creation of digital products and does not own the intellectual property rights to the products. The supplier bears full responsibility for quality, support, and after-sales service.

 

3. Registration Requirements for Sellers

For Companies:

• Commercial Registration or Business License
• Tax Card
• Legal Representative’s ID Card
• Bank Account in the Company’s Name

 

For Individuals:

• Valid National ID card
• Personal Bank Account
• Individual sellers are responsible for all taxes levied on their sales.
• The website reserves the right to accept or reject any seller without providing reasons.

 

4. Uploading Digital Products

The vendor must:

• Provide an accurate and detailed description of the product as requested by the platform.
• Explain: Functions – Features – How to Use It.
• Explain the terms of technical support (if applicable).
• Specify the annual support cost if it is not included in the product price.

 

The website reserves the full right to reject or delete any product.

5. Full vendor Responsibility

The seller is responsible for:

• Product quality
• Its functionality and the accuracy of its description
• Providing technical support
• Updating or fixing any problem that appears to the customer
• Protecting the displayed product by all legal means
• Intellectual property rights to the product belong solely to the supplier, and in the event of its transfer to the customer, the platform is not legally responsible.

The platform is not responsible for any defects or technical flaws in the products.

6. Direct Communication with Customers is Prohibited

• The seller is strictly prohibited from communicating with customers outside the platform.

 

• In case of violation, the platform has the right to:

o Cancel the seller’s account

o Delete all products

o The platform may have the right to withhold payments if necessary

o The seller is obligated to provide support to previous customers

 

7. Commission and Financial Transfers

• The seller’s dues will be transferred within 3–5 business days.
• Commission rate:

– 30% for companies

– 40% for individuals

• Transfers will be made to the registered bank account only.
• If the bank or legal documents change, the update must be sent via the registered email address. ________________________________________

8. Legal Obligations

The seller is obligated to:

• Respect intellectual property laws
• Ensure that the product is licensed or owned by them
• ​​Not sell any product that is illegal, harmful to consumers, or causes harm to customers

9. Platform Rights

The platform has the right to:

• Delete or block any product
• Suspend or cancel the seller’s account
• Prevent dealings with non-compliant sellers
• Change policies and notify sellers when necessary

10. Termination and Account Suspension

A seller’s account may be suspended if:

• They violate policies
• They provide false information
• They attempt to contact customers outside the platform
• They violate sales or tax laws

However, the seller remains obligated to support customers who purchased their products before their account was suspended.

11. Law and Jurisdiction

These terms and conditions are governed by the laws of the Arab Republic of Egypt, and any dispute shall be subject to the jurisdiction of the competent Egyptian courts.

بالاشتراك كبائع على منصة www.Digital2Digital.net، فإنك توافق على الالتزام الكامل بالشروط التالية:

1. المقدمة

مرحبًا بكم في  www.Digital2Digital.net المملوك لشركة  Cloudy eMarketing –مسجلة في الهيئة العامة  للاستثمار مصر  (GAFI)تحت رقم 179595

بالموافقة علي الشروط و الاحكام و باستخدام الموقع أو شراء أي منتج يعني موافقتك الكاملة على الشروط التالية.

2. دور المنصة

• www.Digital2Digital.net   هي منصة الكترونية وسيط بين العميل والمورد.
• المنصة ليست مسؤولة عن إنشاء المنتجات الرقمية ولا تمتلك حقوق الملكية الفكرية للمنتجات، والمورد يتحمل المسؤولية الكاملة عن الجودة والدعم و خدمة ما بعد البيع.

3. شروط التسجيل للبائعين

للشركات:

• سجل تجاري أو رخصة تجارية
• بطاقة ضريبية
• بطاقة هوية الممثل القانوني
• حساب بنكي باسم الشركة

للأفراد:

• بطاقة رقم قومي سارية
• حساب بنكي شخصي
• تحمل البائع الفرد لجميع الضرائب المفروضة على مبيعاته

يحتفظ الموقع بالحق في قبول أو رفض أي بائع دون إبداء الأسباب.

4. رفع المنتجات الرقمية

يجب على البائع:

• وضع وصف دقيق ومفصل للمنتج كما يطلب منه من طرف المنصة
• توضيح: الوظائف – المميزات – طريقة الاستخدام
• توضيح شروط الدعم الفني (إن وجد)
• تحديد تكلفة الدعم السنوي إذا لم يكن ضمن سعر المنتج

للموقع الحق الكامل في رفض أو حذف أي منتج.

5. مسؤولية البائع كاملة

يتحمل البائع مسؤولية:

• جودة المنتج
• وظائفه وصحة وصفه
• توفير الدعم الفني
• تحديث أو إصلاح أي مشكلة تظهر للعميل
• حماية منتجه المعروض بكل الطرق الشرعية
• الملكية افكرية للمنتج للمورد فقط و في حالة انتقالها للعميل المنصة غير مسئولة قانونيا

المنصة ليست مسؤولة عن أي خلل او عيب تقني للمنتجات.

6. يمنع التواصل المباشر مع العملاء

• يُمنع منعًا باتًا على البائع التواصل مع العملاء خارج المنصة.
• في حال المخالفة يحق للمنصة:
  • إلغاء حساب البائع
  • حذف جميع المنتجات
  • المنصة فد يكون لها الحق في حجب المستحقات ان استلزم الامر
  • مع إلزام البائع بتقديم الدعم للعملاء السابقين 

7. العمولة والتحويلات المالية

• يتم تحويل مستحقات البائع خلال 3–5 أيام عمل.
• نسبة العمولة:
  • 30% للشركات
  • 40% للأفراد
• التحويل يتم للحساب البنكي المسجل فقط.
• عند تغيير البنك أو الوثائق القانونية، يجب إرسال التحديث عبر البريد الإلكتروني المسجل.

8. التزامات قانونية

يلتزم البائع بـ:

• احترام قوانين الملكية الفكرية
• التأكد من أن المنتج مرخص أو مملوك له
• عدم بيع أي منتج مخالف للقانون أو ضار للاستهلاك للعملاء او يسبب الضرر

9. حقوق المنصة

يحق للمنصة:

• حذف أو حجب أي منتج
• تعليق أو إلغاء حساب البائع
• منع التعامل مع بائع غير ملتزم
• تغيير السياسات مع إخطار البائعين عند الضرورة

10. الإنهاء وإيقاف الحساب

قد يتم إيقاف حساب البائع إذا:

• خالف السياسات
• قدم معلومات غير صحيحة
• حاول التواصل مع العملاء خارج المنصة
• خالف قوانين البيع أو الضرائب

ومع ذلك يظل البائع ملزمًا بدعم العملاء الذين اشتروا منتجاته قبل إيقافه.

11. القانون والاختصاص القضائي

تخضع هذه الشروط لقوانين جمهورية مصر العربية، وأي نزاع يتم النظر فيه أمام المحاكم المصرية المختصة.
